By accessing or using Lien-Waiver ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

Lien-Waiver is a web-based platform that enables construction contractors, general contractors, and related professionals to:

  • Create and manage lien waiver documents
  • Send waiver requests to vendors and subcontractors electronically
  • Collect electronic signatures on lien waivers
  • Track waiver status and maintain records
  • Generate PDF copies of signed waivers

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Send spam, fraudulent, or misleading content
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service
  • Create waivers for fraudulent purposes
  • Forge signatures or misrepresent signing authority

5. Electronic Signatures

By using the Service to sign documents electronically, you acknowledge and agree that:

  • Electronic signatures are legally binding and have the same legal effect as handwritten signatures under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA)
  • You consent to conduct business electronically and to receive documents electronically
  • You have the authority to sign documents on behalf of the entity you represent
  • You will not forge or misrepresent signatures

We record signature metadata including timestamps and IP addresses to provide evidence of signing intent and authenticity.

While we strive to provide accurate statutory forms for states that require them, you are solely responsible for:

  • Ensuring waivers are appropriate for your specific situation
  • Consulting with a licensed attorney for legal advice
  • Compliance with all applicable lien laws and regulations

Lien waiver requirements vary by state and may change over time. We do not guarantee that our forms are current or compliant with all jurisdictional requirements.

7. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to pay all applicable fees.

  • Subscription fees are billed in advance on a monthly basis
  • All fees are non-refundable except as required by law
  • We may change our fees upon 30 days' notice
  • Failure to pay may result in suspension or termination of your account

8. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Lien-Waiver and its licensors.

You retain ownership of all content you submit to the Service. By submitting content, you grant us a license to use, store, and process that content as necessary to provide the Service.

9. Limitation of Liability

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Lien-Waiver and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any claim that your content caused damage to a third party
  • Any disputes arising from lien waivers created or signed using the Service

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
